Pierre G. Gagnon , , , Chairman and Interim Chief Executive Officer

Mr. Gagnon is past-CEO and Chairman of Medic Holdings Inc. (Medic), a leader in Canadian foot care and effective March 2017, a wholly-owned subsidiary of Agility Health. Medic owns and operates 12 foot care clinics in Ontario and Quebec and through its manufacturing division, is a leading manufacturer of custom orthotics, bracing and prosthetic devices. Mr. Gagnon has spent more than 30 years working with middle-market companies, helping them grow, restructure or transition. Mr. Gagnon currently serves as a director for several public companies including Altitude Resources Inc., Baymount Corp., and Spruce Ridge Resources Limited. Over the last 25 years, Mr. Gagnon has also held officer and/or director positions with a number of other public and privately-held companies including Abba Medix Group Inc., Dealnet Capital, Pisces Capital Corp., Spot Coffee (Canada Limited) Ltd., Tangarine Payment Solutions Corp and The Mint Corporation. Pierre is a member of the advisory boards to private equity funds Shotgun Fund and Succession Fund.

Mr. Gagnon is an active supporter of the community in which he resides and is a director of Oakville Galleries. He is an Associate of the Institute of Canadian Bankers.

Kenneth Scholten , , , President, Director

Mr. Scholten is President of Agility Health. In addition to his senior roles in business strategy development and client relationship management, Mr. Scholten is actively involved in operations and business development for Agility Health’s contract therapy management service line. The contract therapy team works with a variety of hospitals, skilled nursing facilities, corporate clients and inpatient rehabilitation units, providing staffing, practice management systems and consulting services to enhance the performance of their rehabilitation programs. Having joined Agility Health in 1977, Mr. Scholten has dedicated his entire professional career to expanding and improving the Corporation’s ability to serve its clients, partners and patients. Mr. Scholten’s experience has included diverse clinical and management responsibilities, from those of staff therapist and clinical manager, to chief operating officer. His career began in contract therapy management, with oversight for establishing clinical service contracts with hospitals and skilled nursing facilities. In 1980, he launched the first of what would become Agility Health’s multi-state group of owned and partnered outpatient clinics. Mr. Scholten was subsequently named Vice President of Operations, with a focus on managing clinical start up operations for new hospital contracts in Michigan and Illinois. Later, as Vice President of Human Resources, Mr. Scholten oversaw all professional staff recruitment and benefits administration, developed a new compensation management structure and established a system of international therapist recruitment.

Mr. Scholten is a licensed physical therapist in Michigan. Mr. Scholten earned a Bachelor of Science degree in physical therapy from Wayne State University in Detroit and has pursued graduate coursework in healthcare administration at St. Joseph’s College of Maine.

Susan Hyatt , , , Director

Ms. Hyatt is CEO and co-founder of Silver Sherpa Inc., a professional services company delivering crisis management and transition planning for the elderly. Ms. Hyatt is also President and CEO of HYATTDIO Inc., a global strategy company. Ms. Hyatt was instrumental in the start-up of Canada's Electronic Health Records (EHR) efforts. Canada Health Infoway Inc. (CHI) was set up by the Government of Canada as an independent company collaborating with federal, provincial and territorial governments to accelerate and facilitate the implementation of EHRs. Ms. Hyatt held several executive positions at CHI, including Interim President and CEO. In the U.S., she was appointed a founding member of the HIMSS Global Enterprise Task Force studying global EHR initiatives. The work earned Ms. Hyatt and her colleagues the Spirit of HIMSS Award for their contributions to global thought leadership. Ms. Hyatt is a trained physiotherapist, holds an MBA in International Business, and is a member of the Canadian College of Health Service Executives, the International Federation on Ageing and the Healthcare Information and Management Society (US).

Robert Herr , , , Director

Mr. Herr is a retired certified public accountant having retired from Crowe Horwath LLP in 2007 after 40 years with the firm. Throughout his career with the firm, Mr. Herr worked with private and public clients in a variety of industries including manufacturing, retail, financial, service, healthcare, distribution, non-profit, and higher education. He has experience working with boards of directors and audit committees with a focus on strategic planning, transaction services, internal reporting, cash flow, and budget planning. Mr. Herr spent over 15 years as a member of Crowe Horwath LLP’s financial institutions practice and his experience includes extensive regulatory interaction and knowledge of publicly traded bank holding companies. Mr. Herr has also been a Member of the Audit Committee and Director of Macatawa Bank Corporation (NASDAQGS:MCBC) since October 2010. Mr. Herr graduated from Western Michigan University in 1967 with a Bachelor of Science (Accounting Major).

Pierre Labbé , , , Director

Mr. Labbé has more than 25 years of progressive financial leadership roles in various industries. Prior to joining Immunovaccine he was Vice President and Chief Financial Officer of Leddartech Inc. (April 2015 – February 2017), and has experience in the life science sector, having served as Chief Financial Officer and secretary of Medicago Inc. (2008-2013 and 2004-2007) until the completion of the privatization of Medicago Inc., following the acquisition by Mitsubushi Tanabe Pharma Corporation for an enterprise value of $357M in 2013. Mr. Labbé, in his role as senior financial officer, has participated in the development of strategic plans, financing and in mergers and acquisitions (over $1 billion in transactions).

Mr. Labbé is also a Director of Osisko Gold Royalties Ltd and Agility Health Inc. Mr. Labbé holds a Bachelor’s Degree in Business Administration and a license in accounting from Université Laval, Québec City. He is a member of Ordre des comptables professionnels agréés du Québec, the Chartered Professional Accountants of Canada and the Institute of Corporate Directors.

Robert Metcalfe , , , Director

Mr. Metcalfe is a businessman and lawyer and has been associated with Metcalfe, Blainey & Burns LLP since 2001, and prior to that he was a senior partner with the law firm Lang Michener LLP for 20 years. He is the former President and Chief Executive Officer of Armadale Properties and counsel to all of the Armadale Group of Companies, with significant holdings across numerous industries including finance, construction of office buildings, airport ownership and management, land development, automotive dealerships as well as newspaper publishing and radio and television stations. Mr. Metcalfe was a director of Canada Lands Company Limited, one of the largest real estate corporations in Canada, and was a director and Chairman of the Board of CN Tower Limited, the tallest communications structure in the world. He has served as a director of numerous public and private corporations and currently serves as a director of the following publicly listed companies: Gran Colombia Gold Corp. (TSX:GCM) (Lead Director and Chairman of the Corporate Governance and Nominating Committee and member of the Audit Committee); WPC Resources, Inc. (TSXV:WPQ) (Director); LeadFx Inc. (formerly Ivernia Inc.) (TSX:LFX) (Director and Chairman of the Compensation Committee); and Alberta Oil Sands (TSXV:AOS) (Director and Chairman of the Board). He is a member of the Institute of Corporate Directors and a member in good standing of the Law Society of Upper Canada.
